Know every document an investor will want, months early.
For Indian MSMEs raising investment, taking a loan or selling the business. See every document you will be asked for, and have your own CA or CS clear each one.

Where most companies are
Most MSMEs run diligence on WhatsApp and a folder called Final_v3.
That works until an investor or a bank asks, and then it costs weeks.

Without a workspace
- Files spread across email, WhatsApp and three drives
- Nobody can say what percentage is actually done
- Your CA asks again for documents you already sent
- Gaps surface during diligence instead of before it
- No record of who opened which document, or when

The law behind it
The lines your list is drawn on
What a company owes changes at set sizes. Two of the tiers in the checklist estimate start on these lines, at ₹5 crore and at ₹100 crore.
₹1 crore
Tax audit begins
A tax audit applies once business turnover passes ₹1 crore, or ₹10 crore if cash receipts and payments are each within 5%. From tax year 2026-27 the audit sits in section 63 of the new Act; audits for FY 2025-26 still follow section 44AB.
Income-tax Act 2025, s.63 (s.44AB of the 1961 Act up to FY 2025-26)
₹5 crore
GSTR-9C reconciliation
Above ₹5 crore of aggregate turnover across all your GSTINs, a self-certified reconciliation statement goes with the annual GST return.
Tier 2 starts here in the estimate.
₹100 crore
No longer a small company
Above ₹100 crore turnover, or ₹10 crore paid-up capital, the small-company exemptions end and CARO 2020 reporting generally applies.
Tier 4 starts here in the estimate.
Companies Act 2013, s.2(85); limits revised 1 Dec 2025, G.S.R. 880(E)
20 employees
EPF applies
EPF applies once you employ 20 people. ESI generally starts at 10, where ESIC has notified the area, which is why your list asks for PF and ESI records from 10.
Checked against the notified text on 30 September 2026. Your CA confirms what applies to you. What each line means in a deal is in how due diligence works in India.
What else counts
What changes your list
Turnover sets how deep the list goes. These five facts about your company add whole groups of items, and the rest stay off it.

19 items
You make, pack, build or move goods
A licences and safety section opens: factory registration, pollution control consent, fire NOC, BIS and FSSAI where they apply, and the renewal date for each.

14 items
You export or import
Your IEC from DGFT, FEMA filings with RBI, customs history, and the FIRC or BRC for each export receipt.

3 items
You employ 10 or more people
PF and ESI compliance, a PoSH Internal Committee and a gratuity valuation join the list.

5 items
You lend, invest or handle payments
An AML programme, a KYC policy, suspicious transaction records and the staff training behind them.

8 items
You are raising money or selling
Valuation joins: the report, the method, the key assumptions, and when it was last done.
Counts are items on the master list that each fact adds. Everything else follows your turnover. Photographs are illustrations of the work, not customers.

What your CA checks
Every item on the list says what to upload, why it is asked for, where to get it and what to do if it is missing. Here is one, taken apart line by line.

- The formsAOC-4, MGT-7, MSME-1, DPT-3, DIR-3 KYC
The mandatory annual RoC filings: financials (AOC-4), annual return (MGT-7), MSME dues (MSME-1), deposits return (DPT-3) and director KYC (DIR-3 KYC).
- The periodThe last three financial years
Upload each filed form with its SRN/challan for the last three FYs.
- Where it comes fromThe MCA portal
Download from the company's filing history on the MCA portal, or collect from the company secretary / CA who files them each year.
- What your CA checksAOC-4 and MGT-7 match the audited accounts and the shareholding
Make sure AOC-4 and MGT-7 match the audited accounts and the shareholding you disclose elsewhere.
Up-to-date annual filings are the clearest signal of compliance hygiene.
Gaps or late filings expose the company and its directors to penalties and are an immediate diligence concern.
- If it is missingAdditional fees accrue daily, so quantify the exposure
List any year not filed and why.
Additional-fee liability accrues daily, so quantify the exposure and plan the catch-up filings before an investor asks.
The review
A question from your CA, and the answer that clears it.
The review happens on the item, with the file beside it. When your CA is satisfied, the item is cleared with their name and the date.
- Questions sit on the item, not in a chat thread
- Your CA reads the file in place and cannot download it
- Every open is logged against the reader's name

Invite your own CA or CS
The professional you already work with reads each document beside its item, raises a question where something is missing, and clears it when it is right. They cannot download anything.
What the status on each item means
These are the same words you will see in your workspace. Two more appear when they apply: In progress, for an item you have started but not finished, and Not applicable, for one that does not apply to your company.
- Not started
The item is on your list with the exact document named.
- Uploaded
You have attached a file. Your readiness percentage moves up.
- Needs work
Your CA has raised a question. It sits on the item until you answer it.
- Cleared
Your CA is satisfied with the evidence. That part of diligence is done.
Your documents
Your documents stay yours. Here is exactly what happens to them.
Balance sheets, ITRs and shareholder agreements are not files you hand over casually. So this is stated plainly rather than buried in a policy page.

Stored in your own Google Drive
When you connect Drive, we ask for a permission that reaches only the folders this app creates. We cannot open, list or search anything else in your account, and we do not keep a copy of your files on our servers. Disconnect and the documents stay with you.
Encrypted in transit and at rest
Everything moves over TLS. Files sit encrypted at rest in Google Drive. Our database is in Mumbai; hosting, email, analytics and error reports use providers outside India. When your reviewer opens a document it streams from your Drive through our servers and is not saved on our side.
Nobody sees a document unless you invite them
There is no shared pool and no default access. A reviewer sees only the company that invited them, and nothing from any other. We do not open your documents, and we do not share them with anyone.
Reviewers read, they do not download
An invited CA or CS views the document inside the workspace. There is no download route for that role. Every time a document is opened, who opened it and when is written to an audit trail.
Your Google Drive
The file is written to a folder this app creates in your own account. We keep no copy.
Read in the workspace
Your CA opens it beside the checklist item it answers. There is no download for that role.
Written to the audit trail
Who opened which document, and when, logged against their name.

Questions
Questions we get asked
What is DiligenceReady, in one line?
It is a workspace that lists every document an investor, buyer or lender will ask an Indian MSME for, tracks which ones you have, and lets your own CA or CS review and clear them before the deal starts.
Do you hold our documents?
No. Files are written to your company's own Google Drive, into folders this app creates, under a permission that cannot reach the rest of your account. We do not keep a copy. If you disconnect, the documents stay with you.
Who can see what we upload?
Only people you invite to your company's workspace. There is no shared pool, no default access, and a reviewer invited by one company cannot see anything belonging to another. We do not open your documents and we do not share them with anyone.
Can the CA we invite download our files?
No. An invited reviewer reads the document inside the app. There is no download route for that role, and every time a document is opened it is recorded against their name.
We already have a CA. Does that work?
That is exactly the intended path. You invite the professional you already trust by email. They create an account and see only your company. We do not assign anyone to you.
Is the readiness check really free?
Yes. It needs no account, no card and no documents. You answer a short set of questions, then leave your name, company, WhatsApp number and email, and you see your readiness percentage with the gaps named. The full report comes by email, and we may follow up on WhatsApp about it. Create a free account after that and you will see the first items of your own checklist. The check stays free.
What does the workspace cost?
We are not publishing a price yet. The workspace is in early access and we are taking on companies one at a time, so we would rather talk to you, understand the shape of your company, and tell you a figure that is right for it. Write to us and you will get an answer, not a waitlist.
What file types can be reviewed?
PDF and images open directly. Word and Excel files are converted to a readable preview on the server, so your reviewer does not need the original software to read them.
Get investor-ready before the investor arrives.
